Marvell buys Lumentum for $115 billion in massive AI chip deal

Marvell is buying Lumentum for $115 billion in stock.

The short version

  • The massive deal unites two suppliers backed by Nvidia.
  • Investors worried and sent Marvell shares down over 10 percent.
  • The giant merger aims to capture surging demand for data center optics.

Why it matters to you. For your business, the massive consolidation shows how quickly supply chains for high-end computing hardware are shifting toward domestic optical makers.

Marvell Technology, the chip designer helping build modern artificial intelligence systems, is buying Lumentum, the optical components maker, in a $115 billion all-stock deal including debt. It stands as one of the largest takeovers in tech history and a massive bet that the artificial intelligence build-out will drive demand for years.

The buyout unites two companies backed by chip giant Nvidia, which invested $2 billion in each firm earlier this year, helping Marvell compete more aggressively with Broadcom for AI spending. Marvell shares fell more than 10 percent on Monday as investors questioned if the company was stretching itself too thin with an equity value of $102.5 billion, more than half its own market capitalization.

"This is an enormous bet and investors are right to ask if Marvell is paying too much and taking on too much at once," said Axel Rudolph, chief technical analyst at IG Group. By buying Lumentum, Marvell captures vital optical components that feed data to expensive processors at extreme speeds without bottlenecks.

"AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," said Marvell CEO Matt Murphy, who will remain head of the combined company. Marvell will pay $1,132 per share in stock, a 23.9 percent premium, with the deal expected to close in the first half of 2028.
